Arm Ambassador-Led Community Events Agreement
Congratulations on being accepted to lead an Arm Ambassador-Led Community Event (“Event”) sponsored by Arm Limited, registered at 110 Fulbourn Road, Cambridge, CB1 9NJ, and its subsidiaries and affiliates (“Arm”).
In connection with your participation as an Arm Ambassador in the Arm Developer Program to lead the Event (hereinafter, “Ambassador”), you acknowledge, accept, and agree to the following terms (the “Agreement”):
- Ambassador shall abide by the schedule outlined below:
- Within 1 week of receipt of approval and confirmation of funding and marketing support from the Arm Developer Program team, Ambassador will submit the Required Information Form available at https://forms.office.com/e/yajjq325Hk and any other documentation or materials to be used in connection with or otherwise relating to the Event (“Materials”).
- Ambassador shall promptly provide timely written updates regarding the details and progress of the Event upon reasonable request from Arm. For any Materials relating to Arm, Ambassador shall share the Materials with the Arm Developer Program team in advance for Arm’s prior written approval. The Arm Developer Program team may modify such content in its sole discretion.
- Ambassador shall use only the marketing materials and templates available through the Arm Ambassador Toolkit and/or as provided by the Arm Developer Program team at the time of approval. Ambassador shall not use any Arm-branded material obtained by Ambassador through other means without the prior written approval of the Arm Developer Program team.
- Within 30 days of completion of the Event, Ambassador shall provide to the Arm Developer Program team: (1) a written report summarizing the details of the Event, including but not limited to the number of registrations, sponsors, exhibitors, attendees, or other participants; and (2) all photos, videos, and any other recordings from the Event (collectively, the “Event Report”).
- Within 30 days of completion of the Event, Ambassador shall provide to the Arm Developer Program team all itemized receipts relating to any purchases or expenditures incurred by Ambassador in connection with the Event. Upon request from the Arm Developer Program team, Ambassador must provide a detailed explanation for the purchase or expenditure, and any transactions under dispute between Arm and the Ambassador shall not be eligible for reimbursement until resolved. When in doubt, Ambassador should seek Arm’s prior written approval before incurring an expense in connection with the Event.
- Ambassador represents and warrants that the Materials and Event Report do not violate any proprietary, personal, or intellectual property rights of others (including any patent, copyright, trademark, trade secret, confidentiality, and privacy rights), is factually accurate, and contains nothing defamatory or otherwise unlawful.
- Ambassador has the full authority to enter into this Agreement and has obtained all necessary permissions or license rights from any individuals or organizations whose material or content is included or used in the Materials or Event Report.
- Ambassador shall not share any personal data with Arm and agrees to abide by all applicable data protection laws.
- Ambassador authorizes Arm to use Ambassador’s name, likeness, photograph, and biographic data in connection with promotion of the Event and the Arm Developer Program.
- Where Ambassador provides any additional material or content to Arm relating to the Event, including but not limited to a blog, press release, or other work, Ambassador makes the same representations and warranties provided in this Agreement as to such works. Ambassador further grants Arm a royalty-free, non-exclusive, irrevocable, transferable, fully-paid up, worldwide, perpetual license to copy, reproduce, publish, republish, distribute, publicly display, transmit, translate, modify, adapt, broadcast, and otherwise make available such works in any medium or format (available now or in the future).
- In the event of a third-party claim against Arm alleging that the Materials, Event Report, or works described in Section 6 infringe any third-party rights, including but not limited to intellectual property rights or rights of confidentiality, publicity, or privacy, Ambassador shall defend and indemnify Arm in respect of all fees, costs, losses, judgments, and/or damages (including attorneys’ fees) arising in connection with such claims.
- The Arm Developer Program team may cancel, postpone, or reschedule the Event as appropriate and necessary, and/or may rescind approval of the Event or its agreement to fund, promote, or otherwise support the Event in its sole discretion.
